Directive on Interim Appointments, Representation, and Remuneration Framework

PREAMBLE
WHEREAS the African Community Fund (the "Fund") operates as an international institution with full juridical personality under Article 2.1 of its Charter;
WHEREAS Article 13.5 authorizes the Chair to adopt directives consistent with the Charter to implement the Fund's mission;
WHEREAS Article 13.7 grants the Chair the authority to appoint interim holders of the positions of President and Ambassadors to serve until the next Voting Meeting;
WHEREAS Article 13.8 empowers the Chair to determine the remuneration, allowances, or Deferred Remuneration Instruments (DRIs) for such interim appointments;
WHEREAS Article 24.1 strictly caps the annual operational budget, including remuneration for specific assignments, at 0.00002% of the Fund's authorized capital;
NOW THEREFORE, the Chair hereby issues this Directive on Interim Appointments, Representation, and Remuneration Framework to establish the mandates, limitations, and compensation structures for interim officers, legal representatives, and regional liaisons.
ARTICLE 1: DEFINITIONS AND TIERING
1.1. Interim Ceremonial Officers: Individuals appointed by the Chair to serve as Interim President or Interim Ambassador until the next Voting Meeting election.
1.2. Lead Negotiator (Legal/Liaison): A senior consultant, legal expert, or designated liaison appointed to take primary responsibility for drafting, negotiating, and executing specific high-level mandates on behalf of the Fund.
1.3. Support Liaison: An appointed representative or consultant tasked with assisting Lead Negotiators, managing regional community relations, and providing logistical, diplomatic, and administrative support for the Fund's missions.
ARTICLE 2: MANDATES AND LIMITATIONS OF AUTHORITY
2.1. Interim President and Ambassadors (Ceremonial & Representative):
- Mandate: Focused strictly on member engagement, public affairs, strategic communications, and external representation at diplomatic, cultural, and institutional forums (Article 15.1). Interim Ambassadors shall maintain a specific regional focus as defined in their individual mandate (Article 15.2).
- Limitation of Authority: These roles possess no day-to-day operational authority, which remains vested solely in the CEO and the Executive Committee (Article 15.3). They may not bind the Fund financially or operationally.
2.2. Lawyers and Legal Representatives: Lawyers appointed under this directive shall operate under "specific assignment mandates" approved by the Executive Committee prior to commencement (Article 24.5(c)). Their scope includes, but is not limited to:
- New Member Engagement: Contractual Negotiation and Structural Arrangements.
- Treaty Negotiation: Drafting and negotiating Supplementary Agreements with Participating States under Article 27.
- Precious Metals Reserve Integrity Program: Executing legal frameworks for secure vaulting, independent assaying, and audit protocols consistent with the standards defined in ACF-DIR-003 Article 5.
- Diplomatic Recognition: Securing and formalizing the Fund's juridical personality, immunities, and operational freedoms across jurisdictions under Chapter V.
- Other Pertinent Missions: Any specific legal assignment deemed necessary by the Executive Committee to protect the Fund's assets and advance its objectives.
2.3. Regional Liaisons (Lead and Support):
- Lead Liaison: Acts as the primary diplomatic bridge between the Fund and regional authorities, community leaders, or institutional partners. Responsible for executing the Fund's Yearly Programs (Article 16) at the regional level.
- Support Liaison: Facilitates community relations, gathers local intelligence, assists in the logistical execution of diplomatic forums, and supports Lead Negotiators during treaty or onboarding processes.
ARTICLE 3: REMUNERATION FRAMEWORK AND TABLE
3.1. Remuneration Mix: Remuneration shall be paid in Cash, Deferred Remuneration Instruments (DRIs), or a hybrid of both, as explicitly defined in the individual mandate.
3.2. DRI Provisions: If DRIs are issued, they shall be marked as encumbered in the Digital Share Registry, vest immediately but carry no voting rights, and are subject to the clawback provisions of Article 24.6(b) in cases of fraud, gross misconduct, or breach of mandate.
3.3. Maximum Remuneration Caps: To ensure strict compliance with the Article 24.1 budget cap, the following are the maximum allowable annual/per-mandate remuneration equivalents. The Chair or Executive Committee may authorize lower amounts based on the specific assignment's scope.

ARTICLE 4: EXPENSE ALLOWANCES AND REIMBURSEMENTS
4.1. Reimbursement Principle: All travel, security, diplomatic representation, and operational expenses incurred by the appointees in the execution of their mandates shall be refunded by the Fund.
4.2. Receipt Requirement: Reimbursements are strictly contingent upon the provision of valid, itemized, and auditable receipts.
4.3. Maximum Expense Caps: To prevent budget overruns, a maximum expense cap must be defined in the individual mandate prior to the commencement of the mission. Expenses exceeding the pre-approved cap require prior written authorization from the Executive Committee or the CEO.
ARTICLE 5: IMMUNITIES, PRIVILEGES, AND COMPLIANCE
5.1. Personal Immunities: In accordance with Article 18.1, all appointees performing missions for the Fund shall be granted:
- Immunity from legal process with respect to acts performed in their official capacity;
- Immunities from immigration restrictions and alien registration requirements equivalent to comparable ranks of international organizations;
- Exemption from direct or indirect taxation on salaries/emoluments paid by the Fund.
5.2. Waiver of Immunities: These immunities belong to the Fund. The Executive Committee or the CEO retains the right and duty to waive these immunities if they would impede the course of justice and can be waived without prejudice to the Fund (Article 22).
5.3. KYC/AML Compliance: All recipients of DRIs, including external non-Member lawyers and liaisons, must successfully pass the Fund's Know Your Customer (KYC) and Anti-Money Laundering (AML) protocols prior to the issuance of any instruments (Article 24.6(a)).
ARTICLE 6: TERM, SUCCESSION, AND TERMINATION
6.1. Interim Tenure: Interim Presidents and Ambassadors serve strictly at the pleasure of the Chair and their tenure shall automatically terminate upon the election of permanent officers at the next Voting Meeting (Article 13.7).
6.2. Specific Assignments: Lawyers and Liaisons serve for the duration of their approved specific assignment mandate.
6.3. Removal: The Chair may revoke any appointment made under this Directive at any time. The Executive Committee or Governance Members may remove appointees for cause via a two-thirds (2/3) affirmative vote (Articles 13.6(d), 14.1(d)).
ARTICLE 7: SAFEGUARDS AND COMPLIANCE
7.1. Alignment with Charter Principles: All remuneration and mandates shall:
- Advance the Fund's objectives under Article 3.2 (community development);
- Reflect cooperative principles of mutuality, long-term value creation, and responsible stewardship under Article 3.3;
- Not create incentives for short-term speculative behavior inconsistent with the Fund's mission.
7.2. Transparency and Reporting: Total remuneration, administrative costs, and DRI issuances under this Directive shall be included in annual financial statements under Article 23.
7.3. Clawback Provision: The Fund reserves the right to claw back unvested or vested DRIs from any holder in cases of fraud, gross misconduct, or material breach of the assignment mandate (Article 24.6(b)).
ARTICLE 8: SUNSET, AMENDMENT, AND ENTRY INTO FORCE
8.1. Sunset Clause: This Directive remains in force until amended or superseded by a subsequent directive, provided that interim appointments automatically terminate upon the next Voting Meeting election.
8.2. Amendment: This Directive may be amended by the Chair upon recommendation of the Executive Committee, provided amendments remain consistent with the Charter.
8.3. Entry into Force: This Directive enters into force upon signature by the Chair and publication on the Fund's official website.
8.4. Languages: In accordance with Article 29.1, this Directive is authentic in English, French, Portuguese, Swahili and Arabic. In case of discrepancy, the English text shall prevail for technical specifications.
